SUPPLIERS PRIVACY POLICY

GEMAR USA, Inc. (“GEMAR USA,” “we,” “us,” or “our”) is committed to protecting the privacy and security of personal and commercial information collected from our suppliers, vendors, contractors, service providers, and their respective representatives or employees (“Suppliers”).

This Suppliers Privacy Policy describes how we collect, use, store, and safeguard personal and commercial data in connection with our pre-contractual, contractual, and commercial relationships. GEMAR USA, Inc. operates in the United States in coordination with its parent company, Gemar S.r.l.

1. INFORMATION WE COLLECT FROM SUPPLIERS

To manage our commercial relationships and procure goods or services, we collect the following categories of information:

Identification & Commercial Contact Data: Legal company name, name of authorized legal representative or commercial contact, job title, physical business address, corporate email address, and phone numbers.
Tax & Financial Information: Federal Tax Identification Number (EIN / Tax ID), U.S. tax documentation (Forms W-9 or W-8BEN), bank account details for wire/ACH transfers, billing history, proof of insurance, and professional/business licenses.
Verification & Compliance Data: Information necessary to perform business background checks, monitor supply chain compliance, prevent fraud, and maintain physical/digital security credentials.

2. PURPOSES OF DATA PROCESSING

Personal and commercial information collected from our Suppliers is processed exclusively for legitimate business and legal purposes, including:

Contractual & Operational Management: Issuing requests for proposals (RFPs), negotiating supply agreements, issuing purchase orders, and receiving goods or services.
Payment Processing & Accounting: Verifying invoices, executing payment transactions, and maintaining required financial and accounting records.
Compliance & Due Diligence: Verifying licenses, conducting quality audits across our supply chain, ensuring ethical sourcing standards (including corporate criteria aligned with our parent company’s B Corp™ certification), and preventing conflicts of interest.
Legal & Regulatory Obligations: Complying with federal and State of Florida tax reporting requirements, regulatory mandates, and judicial or administrative orders.

3. DISCLOSURE AND SHARING OF INFORMATION

GEMAR USA, Inc. does not sell Supplier information. We may share Supplier data only with:

Parent Company and Corporate Affiliates: Gemar S.r.l. For consolidated supply chain auditing, international financial accounting, and corporate quality assurance.
Service Providers & Financial Institutions: Banking institutions, payment gateways, external auditors, legal/financial counsel, and enterprise software (ERP/CRM) providers acting on our behalf.
Governmental Authorities: U.S. tax authorities (Internal Revenue Service, Florida Department of Revenue), law enforcement agencies, or regulatory bodies when required by law or subpoena.

4. DATA SECURITY AND RETENTION

We implement technical, physical, and administrative security measures designed to protect Supplier data against unauthorized access, loss, alteration, or disclosure.

We retain Supplier information for the duration of the commercial relationship and subsequently for statutory retention periods required under applicable Florida and U.S. federal tax, commercial, and accounting laws (typically 5 to 7 years following the termination of the contractual relationship).

5. PRIVACY RIGHTS OF SUPPLIERS AND REPRESENTATIVES

Individual representatives and employees of our Suppliers have the right to access, update, or correct their commercial contact details maintained in our records. To exercise these rights or make inquiries regarding our data handling practices, please submit a request to [email protected].
